In connection with the proposed transaction whereby Inspira Health Network, Inc., will become the sole corporate member of Salem County Hospital Corp., dba Salem Medical Center (“SMC”) (the “Proposed Transaction”), SMC filed an application under the Community Health Care Assets Protection Act (“CHAPA”) for approval of the Proposed Transaction. A public hearing was held in consultation with the Commissioner of the New Jersey Department of Health as required by CHAPA and, ultimately, the New Jersey Attorney General found that the Proposed Transaction is in the public’s interest. Given that the Proposed Transaction meets the statutory criteria of CHAPA, the New Jersey Attorney General, in consultation with the Commissioner of Health has recommended that the Superior Court of New Jersey approve the Proposed Transaction.
